End-User License Agreement for Software

END-USER LICENSE AGREEMENT FOR SOFTWARE

Before using the Programs listed below (including downloading, copying, installing, purchasing, or launching), carefully read the terms of use contained in this Agreement. Any use of the Program signifies the proper conclusion of this Agreement and your full and unconditional acceptance of all its terms. If you do not agree to accept the terms of this Agreement unconditionally, you are not entitled to use the Programs and must delete them along with all their components and data from all your computers and other electronic devices.

This End-User License Agreement (hereinafter referred to as the "Agreement") is a legally binding agreement between LLC IMV, DUNS 854666755, and you, the end user.

1.  BASIC TERMS
1.1. LLC IMV – Limited Liability Company IMV, registered at: Tbilisi, Giorgia, Kekelidze street 62.
1.2. IMV Dicom Viewer – a software program designed for visualization, archiving, and exporting medical images (DICOM data), as well as any subsequent updates owned by LLC IMV. IMV Anonymizer – software for anonymizing DICOM study data and editing tags. IMV Atlas – a module for IMV Dicom Viewer that includes studies with annotated anatomical structures. Automatic segmentation modules include IMV MS, IMV Gliomas, IMV Subcortical, IMV Spine, IMV Pirads, IMV Uterus, and IMV Tumor Spine.
1.3. You, User – any individual or legal entity that has acquired/received/used the Program.
1.4. Programs – copies of the aforementioned computer programs (both in full and their components), presented in an objective form as a combination of data and commands, including source code, incorporated by LLC IMV into these programs, along with any accompanying documentation.
1.5. Use of the Programs – any actions related to the functioning of the Programs according to their intended purpose.
1.6. Activation – an action directed at registering the Program for a specific User by entering an email address as prescribed by this License Agreement.
1.7. Base Version – a version of the Program with functional limitations intended exclusively for personal familiarization, evaluation, and verification of the Program by the User for non-medical purposes.
1.8. Commercial Version – versions of the Programs without functional limitations intended for Users working with DICOM images for non-medical purposes.
1.9. Edition(s) – specific modifications (execution variants) of the Programs characterized by a defined set of functional capabilities available to the User.
1.10. Additional Module(s) – a separate module of the Program characterized by a defined set of functional capabilities available for inclusion in a specific Program Edition for an additional fee.
1.11. Technical Support – activities carried out by LLC IMV within its established scope and volume to ensure the functioning of the Programs, including informational and consulting support for Users regarding Program use.
1.12. Agreement, Invoice-Offer (License Agreement) – a document based on which LLC IMV or another authorized entity has granted the User the right to use the Programs under the terms of this Agreement.
1.13. Applicable Law – the current laws of the Russian Federation.
1.14. Warning
IMV Dicom Viewer is a software tool for reading medical images in the DICOM (Digital Imaging and Communications in Medicine) format. This standard format allows medical professionals to display, store, and transmit medical images. IMV is intended for use in medical settings but only as a viewing tool.
IMV is not a medical device as defined by current EU regulations because its functionality is limited to collecting, reading, and transmitting DICOM data required for diagnosis without performing any actions on these data or actively participating in medical diagnostics.
IMV does not have CE, RU, or FDA certification and, therefore, must be used solely for viewing DICOM images. It must not be used:

2.  SUBJECT OF THE AGREEMENT
2.1. LLC IMV grants the User the right to use the Programs (a simple non-exclusive license) provided all restrictions and conditions for using the Programs are met in accordance with their technical documentation, functional capabilities, and this Agreement, considering the number of paid license copies in the respective editions and the presence or absence of paid additional modules specified in Section 6 of this Agreement.
2.2. All provisions of this Agreement apply to both the Programs as a whole and their individual components.
2.3. This Agreement is concluded before or at the time of the commencement of the Programs’ use and remains in effect throughout the lawful use of the Programs by the User within the copyright term, provided the User complies with the terms of this Agreement.
2.4. LLC IMV grants the User the right to use the Programs without territorial restrictions under the terms and conditions outlined in this Agreement for non-medical purposes.

3.  COPYRIGHTS AND TRADEMARKS
3.1. The Programs are the result of intellectual activity and are the copyrighted property of LLC IMV, DUNS 854666755.
3.2. The algorithms and source codes of the Programs (including their parts) are trade secrets of LLC IMV. Any use of them or the Programs in violation of this Agreement is considered a violation of LLC IMV’s rights and is sufficient grounds for revoking the User’s rights granted under this Agreement.
3.3. LLC IMV guarantees that it has all necessary rights under this Agreement to grant them to the User, including documentation for the Programs.
3.4. Liability for copyright infringement is governed by applicable law.
3.5. This Agreement does not grant the User any rights to use the trademarks and service marks of LLC IMV.
3.6. To protect copyrights and limit the use of the Programs, the Copyright Holder employs various technical protection measures, including sending user activity data to the Company’s server.

4. TERMS OF SOFTWARE USE AND RESTRICTIONS

4.1. This Agreement grants the right to install, launch, and use a single copy of the Software within the functional capabilities of the corresponding edition and its respective additional modules.

4.2. The User is under no circumstances permitted to:

4.2.1. Remove or alter copyright information, trademarks, or patents indicated in the Software. 4.2.2. Convert the Software’s object code into source code. 4.2.3. Modify the object code or components of the Software, except for changes made using tools included with the Software and described in the documentation. 4.2.4. Use the same license simultaneously on more than one computer. 4.2.5. Distribute or transfer the Software under conditions other than those specified in the Agreement. 4.2.6. Distribute the Software and its components on any external network, including the Internet, or any software created based on the Software, in any form, including source code, or lease it. The User is not allowed to use the Software in any manner that contradicts or violates this Agreement or applicable law. However, the User is permitted to store, install, and distribute a copy of the Software within an internal local network to provide access to it from other computers within that network.


5. ASSIGNMENT (TRANSFER) OF RIGHTS

5.1. Except as provided in this Agreement, the User has the right to transfer their rights and obligations under this Agreement to another User only once, provided that a corresponding sublicensing agreement is concluded with IMVISION. This transfer right is not granted to Users who obtained their Software rights through a similar transfer.

5.2. The transfer of rights and obligations is possible only if the new User fully and unconditionally accepts all the terms and conditions of this Agreement.

5.3. Upon transferring Software rights, the User must completely destroy all installed copies of the Software, including backup copies.

5.4. The User must provide IMVISION with full details (all requested information) about the new User to re-register the Software in accordance with this Agreement.


6. SOFTWARE EDITIONS AND ADDITIONAL MODULES

6.1. Base Version License:

6.1.1. The Base Version License is granted to the User under the Agreement from the day the License Key is activated, with no expiration period unless otherwise stated in the Agreement.

6.1.2. The Licensor guarantees the User the right to install new versions (updates) of the Base License from the website http://imv-ms.com free of charge from the date of activation.

6.1.2.1. The User acknowledges that installing new versions (updates) does not grant new rights to use the Base License or extend the ability to install new updates.

6.1.3. The Base License allows Software use with functional limitations as outlined in the technical documentation (User Manual).

6.1.4. The Licensor does not guarantee any increase or expansion of the Base License’s functionality in future updates.

6.1.5. Activation of the Base License requires the User to enter their email via the Software’s main menu settings.

6.1.6. Rights to all new versions (updates) are provided within the validity period of the Base License unless the User is required to accept additional terms or a new Agreement.

6.1.7. The User may upgrade to a different edition for a fee during the Base License’s validity period.

6.1.8. The Base Version is not intended for medical use in institutions.


6.2. Commercial Version License:

6.2.1. The Commercial Version License is granted upon activation and payment by the User.

6.2.2. The Licensor guarantees the User the right to install updates of the Commercial Version from http://imv-ms.com for one year from the date of payment.

6.2.2.1. After this period, the User may continue using the current version without the right to install updates or extend the update right by renewing the Agreement for up to three years.

6.2.2.2. The User acknowledges that installing updates does not grant new rights to use the Commercial Version or extend update rights.

6.2.3. The Commercial Version includes all declared functionalities as per the technical documentation.

6.2.4. The Licensor guarantees enhancements and expansions of functionality in new updates.

6.2.5. Activation requires the User’s email and payment completion.

6.2.6. Rights to all updates are provided during the validity period unless new terms are required.

6.2.7. Users cannot downgrade from the Commercial Version to another edition.

6.2.8. The Commercial Version is not intended for medical use in institutions.


7. TECHNICAL SUPPORT

7.1. IMV provides technical support regarding functionality, installation, and operation on supported systems as specified in the User Manual.

7.2. The User can contact IMVISION’s Technical Support Service without additional fees unless otherwise stipulated in a separate Agreement.

7.3. IMV may require the User to provide version numbers, license details, and system specifications for support. In special cases, with the User’s consent, IMVISION representatives may remotely connect to the User’s system for troubleshooting.

8. LIABILITY

8.1. Violation of this Agreement results in liability as per applicable law.

8.2. IMV is not liable for any damages, lost income, or data loss related to the Software use or inability to use it.

8.3. The User is liable for attempting to bypass security measures, sharing license keys, modifying the Software code, or distributing information about such modifications.

8.4. If unauthorized access to a License Key is suspected, the User must immediately report it to AnonymizerIMV@imv-ms.com.


9. LIMITED WARRANTY

9.1. The Software is provided "as is," and IMV does not guarantee it will meet User expectations or be suitable for any specific purpose.

9.2. IMV is not responsible for any modifications to the Software affecting its functionality.

9.3. IMV does not control or monitor information entered by Users and is not liable for any legal violations arising from its use.

9.4. IMV will attempt to fix errors but cannot guarantee resolution timelines.

9.5. The Software is not intended for medical use in institutions.

9.6. IMV does not guarantee uninterrupted operation, especially after hardware or system changes.

9.7. IMVISION is not responsible for data entered by Users into the Software.


10. INFORMATION CONSENT

10.1. The User consents to IMVcollecting and processing technical information to improve Software functionality and support services.

10.2. IMV commits to keeping collected information confidential.

10.3. Acceptance of this Agreement implies acceptance of IMVISION’s Privacy Policy.


11. AGREEMENT MODIFICATION AND TERMINATION

11.1. Any matters not covered in this Agreement are governed by applicable law.

11.2. IMV may terminate this Agreement if the User violates its terms.

11.3. Upon termination, the User must cease using and delete all copies of the Software.

11.4. If any provision is deemed invalid, the remaining Agreement remains in effect.

11.5. IMV reserves the right to modify this Agreement unilaterally.
